CORPORATE GOVERNANCE BEST PRACTICES

The “Code of Best Corporate Governance Practices”, issued by the Brazilian Institute of Corporate Governance (IBGC), intends to make the Brazilian organizational and institutional environment fairer and more solid, responsible and transparent by making recommendations to create better corporate governance systems in the organizations in order to optimize the organization’s value, facilitate its access to funds and contribute to a healthy performance and longevity.

The Company is committed to the best corporate governance practices, and has adhered to the main practices recommended by the IBGC, such as:

  • The prohibition on the use of insider information and the existence of a policy of disclosure of relevant information;
  • Directors with experience in operational, financial and other matters, as well as experience of participating in other boards of directors;
  • Maintenance of a whistleblowing channel for submitting complaints or resolving problems of an ethical nature; and
  • Statutory provision for the installation of a Fiscal Council.
