CORPORATE PROFILE

Pacaembu is one of Brazil’s leading construction and real estate development companies, with over 33 years of experience focused on the low-income residential segment. The company is the largest builder of residential houses in the country, offering affordable properties with complete infrastructure in cities primarily located in the interior.

The founding partners, Eduardo de Almeida and Wilson de Almeida (“Founders”), were involved in the initial development of low-income housing projects financed by Caixa Econômica Federal, pioneering the Credit Association model with FGTS (Government Severance Indemnity Fund for Employees) resources.

In 1994, the Jardim Lavínia project in the city of Marília was signed, marking the beginning of the Credit Association model with FGTS resources in partnership with Caixa Econômica Federal. This was the start of the Founders’ involvement in the low-income housing market alongside Caixa Econômica Federal through the Credit Association and PAR (Residential Leasing Program) modalities.

On May 20, 1998, the company began operating in real estate development under the name “Pacaembu Empreendimentos e Construções Ltda,” solidifying the Pacaembu brand.

In 2009, the Federal Government launched the “Minha Casa Minha Vida” program, marking a significant milestone for the company with the launch of the Parque Residencial Nova Esperança development in São José do Rio Preto, São Paulo, comprising 2,509 housing units, and the Residencial Santa Maria in Botucatu, with 407 housing units.

In 2011, the company began its modernization and growth process, establishing a management model and the current board structure. In the same year, the Residencial Parque Nova Esperança was delivered in an event attended by the then-President of Brazil, Dilma Rousseff.

In 2013, the company shifted its focus to the 1.5 and 2 tiers of the “Minha Casa, Minha Vida” program, aiming to capitalize on growth opportunities, high housing demand, and low default risk.

In 2016, the company published its first audited financial statements, established a Consultative Board of Directors composed of market professionals, and joined ABRAINC (Brazilian Association of Real Estate Developers).

On May 1st, 2018, the company restructured its corporate model, becoming a privately held corporation, and formally established its Board of Directors, replacing the Consultative Board of Directors.

As part of Pacaembu’s succession plan, in 2019, the presidency was taken over by Mr. Wilson Amaral, a market professional, to assist in the transition from the Founding shareholders to their successors, Victor de Almeida and Fernando de Almeida. The Founders then transitioned to strategic roles, holding positions only on the Board of Directors. Mr. Victor de Almeida holds a law degree from the Pontificia Universidade Católica de São Paulo, is a specialist in Consumer Relations Law from the same institution, and has a postgraduate degree in Business Administration from Fundação Getúlio Vargas. Mr. Fernando holds a degree in Civil Engineering from Fundação Armando Alvares Penteado and has nearly 15 years of experience in the real estate market.

Continuing the transition and professionalization process, in 2020, Pacaembu went public under CVM Category A, and formally implemented Novo Mercado practices and policies, such as maintaining the minimum required number of independent board members, creating an Audit Committee composed solely of independent members, establishing an internal controls, internal audit, and risk management area, among others.

In May 2021, after the successful conclusion of the transition process led by Mr. Wilson Amaral, Mr. Victor de Almeida and Mr. Fernando de Almeida assumed the role of co-presidents of the company, with Mr. Wilson Amaral remaining until September of the same year when he transitioned to a position solely on the Board of Directors.

Also in 2021, Pacaembu began its geographic expansion process beyond the interior of São Paulo, launching its first projects in Paraná, in the cities of Londrina, Ponta Grossa, and Arapongas.

In 2022, the company expanded its operations in Paraná, launching projects in the cities of Cafelândia, Cianorte, and Nova Aurora, totaling six cities in operation within the state.

Following the company’s succession plan, in April 2023, Mr. Victor de Almeida assumed the position of Executive Chairman of the Board, becoming a member of the Board of Directors, and Mr. Fernando de Almeida remained as the CEO of Pacaembu.

In 2023, continuing its geographic diversification process, the company began operations in Mato Grosso, launching its first project in the capital, Cuiabá, followed by its first project in Primavera do Leste, also in Mato Grosso.

As part of the succession plan for the second generation of the founding family, in April 2024, Ms. Julia de Almeida Honda was elected to the Board of Directors, thereby stepping down from the executive position she had held until then. In pursuit of excellence in Corporate Governance, during the same month, Pacaembu’s Audit Committee was made statutory, now composed exclusively of independent members.

Throughout 2024, Pacaembu’s internal regulations and policies were reviewed and updated to align with best corporate governance practices and the Company’s current context.

In 2024, the Company further expanded its presence across Brazil with the launch of its first project in the state of Minas Gerais, in the city of Ituiutaba, located in the Triângulo Mineiro region. It also expanded operations in the state of Paraná with its first launch in the city of Palotina. In the state of São Paulo, the Company entered the cities of Piratininga and Araraquara. In total, the Company began operating in four new cities in 2024.

In 2024, Pacaembu reached the milestone of R$ 2 billion in launches and net sales and made its first issuance of Commercial Notes in the market, raising R$ 200 million.

The Landbank in March 2025 totaled more than 110 thousand units with estimated PSV R$18.7 billion located 72% in São Paulo state countryside and 28% in Paraná, Mato Grosso and Minas Gerais states.

Pacaembu concentrates its efforts on the Minha Casa, Minha Vida federal government program, as it sees great opportunities for growth and low risk of default, due to the structure of the program and the mortgage concession model, whereby the units sold are financed through Caixa Econômica Federal upon sale (even in the case of units sold before construction starts) with funds of the Government Severance Indemnity Fund for Employees (“FGTS”), reducing the possibility of cancellation of sales.

Architectural projects involve planning, approval and construction of large planned residential neighborhoods with full infrastructure, including paved streets, water and sewage systems, street lighting and detached one-floor houses. These projects include areas intended for commercial use, as well as facilities designed to meet the needs of the local population demands, such as (i) schools, (ii) day care centers, (iii) health care centers, (iv) social welfare centers and (v) spaces for sport activities, making the product more attractive. The Company believes that these characteristics are an important differential for the market in which it operates, generating high demand for its products, increasing sales speed and enabling faster construction cycles.

1991

Incorporation of the company by the founding partners, Eduardo de Almeida and Wilson de Almeida.

1994

In 1994 it was signed with Caixa Econômica Federal the Jardim Lavínia project, in the city of Marília, an embryo of the future Crédito Associativo loan with funds from the Government Severance Indemnity Fund (FGTS). This was the beginning of the founders’ work in the low-income market with Caixa Econômica Federal in the Crédito Associativo loan and Housing Leasing Program (PAR – Programa de Arrendamento Residencial) modalities.

1998

On May 20th, 1998, the Company began operating in the real estate development sector under the name “Pacaembu Empreendimentos e Construções Ltda,” marking the consolidation of the Pacaembu brand.

2009

The Federal Government launched the “My House, My Life” (Minha Casa, Minha Vida – MCMV) program. In the same year, the company joined the MCMV program with the following projects: Parque Residencial Nova Esperança, in the city of São José do Rio Preto, with 2,509 residential units; and Residencial Santa Maria, in the city of Botucatu, with 407 residential units.

2011

The company embarked in a process of growth, upgrading and professionalization, with the creation of a new management model and the current structure of the Executive Board. In the same year, the Residencial Parque Nova Esperança project was delivered at an event attended by then President, Ms. Dilma Rousseff.

2013

The Company adopted a new strategy of working only in brackets 1.5 and 2 of the MCMV program, as it saw great opportunities for growth and low risk of default.

2016

The Company published its first audited financial statement, established an Advisory Board composed of market-experienced professionals, and became a member of ABRAINC (Brazilian Association of Real Estate Developers).

2018

Restructuring of its corporate model, becoming a privately held corporation and formally establishing its Board of Directors to replace the Advisory Board.

2019

As part of Pacaembu’s succession plan, in 2019, the Company’s CEO was assumed by Mr. Wilson Amaral, a seasoned market professional, to support the transition of the Founding Shareholders to the second generation of the family, Victor de Almeida and Fernando de Almeida. The Founders then took on strategic roles, holding positions solely on the Company’s Board of Directors. In the same year, Pacaembu appeared for the first time in the Ranking of the 100 Largest Construction Companies in Brazil, published by INTEC Brasil, ranking sixth in terms of square meters built.

2020

Continuing the Company’s transition and professionalization process, in 2020, Pacaembu became a Category A public company registered with the CVM (Brazilian Securities and Exchange Commission), and formally adopted and implemented practices and policies aligned with the Novo Mercado segment of B3. These included maintaining the minimum number of independent board members as required by the Novo Mercado Regulations, establishing an Audit Committee composed exclusively of independent members, and creating internal controls, internal audit, and risk management departments, among other initiatives. In the same year, Pacaembu received several new recognitions, including the “Great Place to Work” certification, the “As Melhores da Dinheiro” award from IstoÉ Dinheiro magazine, and inclusion in the “Valor 1000” yearbook published by Valor Econômico newspaper.

2021

In May 2021, following the successful completion of the transition led by Mr. Wilson Amaral, Mr. Victor de Almeida and Mr. Fernando de Almeida assumed the roles of Co-CEOs of the Company. Mr. Wilson Amaral remained with them until September of the same year, when he transitioned to serve solely on the Company’s Board of Directors. Also in 2021, Pacaembu began its geographic expansion beyond the interior of São Paulo state, launching its first projects in the state of Paraná, in the cities of Londrina, Ponta Grossa, and Arapongas. That same year, Pacaembu was featured in leading real estate market performance rankings. The company ranked among the top eight in the real estate sector in the “Melhores e Maiores” (Best and Biggest) yearbook published by Exame magazine. In the “1000 Maiores da Dinheiro” (Top 1000 by Dinheiro) ranking, published by IstoÉ Dinheiro magazine, the Company stood out among the top three in the categories of Human Resources and Financial Sustainability.

2022

In 2022, the Company expanded its operations in the state of Paraná with project launches in the cities of Cafelândia, Cianorte, and Nova Aurora, reaching a total of six cities operating in the state. In the same year, Pacaembu was featured in the Ranking of the 100 Largest Construction Companies in Brazil, published by INTEC Brasil, securing second place in terms of square meters built. Additionally, the award organizers recognized top performers in four distinct categories, with Pacaembu named the winner in the category “Most Projects Delivered in the Year.”

2023

Continuing the Company’s succession plan, in April 2023, Mr. Victor de Almeida assumed the position of Executive Chairman of the Board of Directors, becoming a member of the Board, while Mr. Fernando de Almeida remained as Chief Executive Officer of Pacaembu. Throughout the year, as part of its ongoing geographic diversification, the Company began operating in the state of Mato Grosso, with its first project launch in the capital city, Cuiabá, followed by a second launch in the city of Primavera do Leste, also in Mato Grosso. Still in 2023, for the second consecutive year, Pacaembu ranked as the second-largest construction company in Brazil in terms of square meters built. In the same year, the INTEC ranking recognized the Company as first place in the categories “Most Projects Delivered in the Year” and “Most Affordable Housing Projects.”

2024

As part of the succession plan for the second generation of the founding family, in April 2024, Ms. Julia de Almeida Honda was elected as a member of the Board of Directors, thereby stepping down from the executive position she had held until then. In pursuit of excellence in Corporate Governance, in the same month, Pacaembu’s Audit Committee was made statutory, composed exclusively of independent members. Throughout the year, Pacaembu’s internal regulations and policies were reviewed and updated to align with best corporate governance practices and the Company’s realities.

The Company also further diversified its operations nationwide with the launch of its first project in the state of Minas Gerais, in the city of Ituiutaba, located in the Triângulo Mineiro region. By the end of the year, it reached the milestone of BRL 2 billion in launches and net sales. In the same year, Pacaembu made its debut in the local capital markets with its first public securities offering, namely its first issuance of Commercial Notes. Also in 2024, for the third consecutive year, Pacaembu secured second place in the INTEC ranking. The Company was also ranked first as the builder with the largest project area under the “Minha Casa, Minha Vida” program, reaffirming its strength in the construction and delivery of social housing.

2025

At the beginning of 2025, for the fourth consecutive year, Pacaembu secured second place in the INTEC ranking and was also ranked first as the builder with the largest project area under the Minha Casa, Minha Vida program. Pacaembu has also earned eight Great Place to Work (GPTW) certifications, the latest being in the first half of 2025, reflecting the Company’s commitment to the well-being and development of its professionals.
